By using the VoxliteNetwork, you are stating that you have read and understand, and agree to be bound by, these Terms. Ability to Accept Terms of Service

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service. In any case, you affirm that you are over the age of 13, as the voxlite Website is not intended for children under 13. If you are under 13 years of age, then please do not use the voxlite Website --there are lots of other great web sites for you. Talk to your parents about what sites are appropriate for you.

Submissions

The Voxlite, LLC may enable you to submit your videos or other personal media content to Voxlite for hosting, display, and distribution to other users of the Voxlite, LLC (collectively, "Submissions"). You grant to Voxlite and Voxlite’s affiliates, representatives, and assigns an irrevocable, perpetual, non-exclusive, fully-paid, world-wide, royalty-free license, with the right to grant sublicenses through multiple tiers of sublicensees, to publicly display, publicly perform, distribute, store, transcode, syndicate, broadcast, reproduce, edit, modify, create derivative works, and otherwise use and reuse your Submissions (or any portions or derivative works thereof) in any manner, in any medium, for any purpose. Voxlitere serves the right to display advertisements in connection with your Submissions and to use your Submissions for advertising and promotional purposes. Voxlite is not required to host, display, or distribute any Submissions, and may remove at any time or refuse any Submissions. Voxliteis not responsible for any loss, theft or damage of any kind to any Submissions.

You represent and warrant that: (a) you own all rights in your Submissions (including, without limitation, all rights to the audio, video, or digital recording, and the performance contained in your Submissions) or, alternatively, you have acquired all necessary rights in your Submissions to enable you to grant to Voxlite the rights in your Submissions described herein; (b) you have paid and will pay in full all license fees, clearance fees, and other financial obligations, of any kind, arising from any use or commercial exploitation of your Submissions; (c) you are the individual pictured and/or heard in your Submissions, or, alternatively, you have obtained permission from each person (including consent from parents or guardians for any individual under the age of eighteen (18)) who appears and/or is heard in your Submissions to grant the rights to Voxlite described herein; (d) you will make such permissions available to Voxlite upon request; and (e) your Submissions do not infringe the intellectual property rights, privacy, or any other legal or moral rights of any third party. You agree to keep all records necessary to establish that your Submissions do not violate any of the foregoing representations and warranties and to make such records available upon the request of Voxlite.

Copyright Infringement

Voxlite respects the intellectual property rights of others. Accordingly, Voxlite has a policy of removing Submissions that violate copyright law, suspending access to the Voxlite, LLC (or any portion thereof) to any user who uses the Voxlite, LLC in violation of copyright law, and/or terminating in appropriate circumstances the account of any user who uses the Voxlite, LLC in violation of copyright law. you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the requisite information. Fees

Voxlite, LLC reserves the right at any time to charge fees for access to new Voxlite, LLC content or services or to portions of the existing Voxlite, LLC content or services or to the Voxlite, LLC as a whole. In no event will you be charged for access to any Voxlite, LLC content or service, or to the Voxlite, LLC as a whole, unless we obtain your prior agreement to pay such charges. If you do not consent to such charges, however, you may not have access to paid content or services.

Proper Use

You agree that you are responsible for your own Voxlite, LLC and for any consequences thereof. Your use of the Service is subject to your acceptance of, and compliance with, the Agreement. You agree that you will not use the Service for any purpose that is unlawful or contrary to this Agreement. You also may not use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service. You agree that you will use the Service in compliance with all applicable local, state, regional, national, and international laws, rules and regulations, including any laws regarding the transmission of data exported from your country of residence. You are responsible for all activities that occur in your account and you agree to notify us immediately of any unauthorized use of your account. We are not responsible for any loss that you may incur because of any unauthorized person using your account or your password. Without limiting the generality of the foregoing, you shall not use the Service to:

i.Send or publish any content that is unlawful, defamatory, libellous, harassing, abusive, hateful or harmful on the basis of religion, sexual orientation, disability, age, race, ethnicity or gender, constitutes or encourages a criminal offence, is fraudulent, harmful to minors, vulgar, pornographic, obscene, or is otherwise objectionable as reasonably determined by us;
ii.Send or publish any content that infringes another party's intellectual property rights or other proprietary, contractual or fiduciary rights, privacy rights or other obligations;
iii.Sell, trade, resell, advertise or otherwise promote, market, sell or exploit any item or service for commercial purposes unless approved in writing by the management of Voxlite, LLC;
iv.Publish messages or send emails that contain any unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation, or that can be characterised as "junk mail", "spam", "chain letters" or "pyramid schemes"; v.Disclose or transfer any Voxlite, LLC account information;
vi.Commit a fraudulent act;
vii.Send emails in violation of anti-spam laws;
viii.Imitate or impersonate another person;
ix."Stalk" or otherwise harass another person;
x.Create false accounts;
xi.Send emails to persons who have requested not to receive them;
xii.Send unsolicited emails to significant numbers of email addresses belonging to individuals and/or entities with whom you have no pre-existing relationship;
xiii.Do any act or thing that infringes our intellectual property rights in the Service or otherwise causes us competitive harm; or
xiv.Do any other act or thing that violates the Voxlite, LLC Terms of Service or the Voxlite, LLC Privacy Policy. If you violate any of the above conditions, we may immediately cancel your right to use the Service, terminate the Agreement and hold you responsible for the legal consequences of your actions. If your membership is terminated because you have violated this Agreement, you shall not be entitled to a refund of any unused portion of subscription fees, should any exist. We reserve the right, but shall have no obligation, to investigate your use of the Service in order to determine whether a violation of the Agreement has occurred or to comply with any applicable law, regulation, legal process or governmental request.

Intellectual Property Rights

The content on the Voxlite Website, except all User Submissions (as defined below), including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("Content") and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to Voxlite, subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. Content on the Website is provided to you AS IS for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Voxlite reserves all rights not expressly granted in and to the Website and the Content. You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of User Submissions of third parties obtained through the Website for any commercial purposes. If you download or print a copy of the Content for personal use, you must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable or otherwise interfere with security related features of the Voxlite Website or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Voxlite Website or the Content therein.

Warranty Disclaimer

YOU AGREE THAT YOUR USE OF THE VOXLITE, LLC WEBSITE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, VOXLITE, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF. YOU UNDERSTAND THAT TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL VOXLITE OR ITS OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STATUTORY, OR OTHERWISE) FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF REVENUES, PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SUCH PARTIES WERE ADVISED OF, KNEW OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM YOUR (OR ANYONE USING YOUR ACCOUNT’S) USE OF THE VOXLITE, LLC .

Exclusions and Limitations

To the extent that Voxlite may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of Voxlite’ liability shall be the minimum permitted under such applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Voxlite, its parents, subsidiaries, affiliates, officers, directors, employees, consultants and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from (1) any information (including, without limitation, your Submissions or any other content) you (or anyone using your account) submits, posts, or transmits through the Voxlite, LLC, (2) your (or anyone using your account’s) use of the Voxlite, LLC, (3) your (or anyone using your account’s) violation of these Terms, (4) your (or anyone using your account’s) violation of any rights of any other person or entity or (5) any viruses, trojan horses, worms, time bombs, cancelbots, or other similar harmful or deleterious programming routines input by you (or anyone using your account) into the Voxlite, LLC.

Trademarks

"voxlite" and the Voxlite design, as well as certain other of the names, logos, and materials displayed in the Voxlite, LLC constitute trademarks, tradenames, service marks or logos ("Marks") of Voxlite or other entities. You are not authorized to use any such Marks. Ownership of all such Marks and the goodwill associated therewith remains with Voxlite or those other entities.
